Terms of Service

1. Acceptance of Terms
By accessing or using any services provided by JomaShip ("JomaShip," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.
2. Services
JomaShip provides third-party logistics (3PL), warehousing, e-commerce fulfillment, and related logistics management services. The specific scope, pricing, and SLAs for each client relationship are governed by a separate Master Service Agreement (MSA) or Statement of Work (SOW).
3. Client Responsibilities
Clients are responsible for:
- Providing accurate product data, SKUs, and inventory information.
- Ensuring all goods shipped to JomaShip facilities comply with applicable laws and regulations.
- Maintaining accurate shipping destination data for end-customer orders.
- Promptly notifying JomaShip of any order disputes, recalls, or regulatory issues affecting inventory.
4. Prohibited Use
You may not use JomaShip's services to handle, store, or ship:
- Hazardous materials, controlled substances, or firearms without express written authorization.
- Counterfeit, stolen, or infringing goods.
- Any goods prohibited under applicable local, national, or international law.
5. Intellectual Property
All content on the JomaShip website, including text, graphics, logos, and software, is the property of JomaShip and is protected by intellectual property laws. You may not reproduce or distribute any content without our prior written consent.
6. Limitation of Liability
To the maximum extent permitted by law, JomaShip shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of or related to your use of our services. JomaShip's total liability for direct damages shall not exceed the fees paid by the client in the three (3) months preceding the claim.
7. Indemnification
You agree to indemnify and hold harmless JomaShip, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the services, your violation of these Terms, or your violation of any third-party rights.
8. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware.
9. Modifications
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date above. Continued use of our services after changes constitutes acceptance of the revised Terms.
